It is important to note that the purchase of commercial real estate is usually comprised of at least two separate negotiations. The first is the letter of intent, while the second one is the purchase and sale agreement. One of the biggest mistakes clients make is failing to have the attorney involved prior to signing the letter of intent. Even though a letter of intent is “non-binding” once the information is memorialized in a letter of intent, it is more difficult to renegotiate the business terms of the transaction. We recommend that Schecter Law be involved early on in the letter of intent process to protect our Client’s interests.
